What is the difference between an LLC and a Corporation?

Though both Corporations and LLCs offer limited liability to their owners, only an LLC is taxed as either a Sole Proprietorship or a Partnership (unless the LLC elects to be taxed as a Corporation). This enables the LLC to pass all income and losses through to the LLC owners.

An LLC also has an advantage over an S-Corporation (a C-Corporation that makes an S-Election) because an S-Corporation can have only 100 shareholders and those shareholders must be U.S. citizens and cannot be Corporations.

How does a Florida LLC or Corporation limit my liability?

Florida Corporation stockholders and Florida LLC unit owners are not held personally liable to Florida LLC or Corporation creditors (unless they personally guarantee those obligations).

What is a C-Corporation?

All Corporations are considered General C-Corporations when they are first formed. This tax status allows them to pay a 15% federal tax rate on the first $50,000 of taxable income every year.

LLCs can also elect to be taxed as C-Corporations. This allows them to deduct health insurance, medical and dental expenses as well as disability insurance premiums for employees (who may also be stockholders).

Yes, one person (U.S. or foreign) can incorporate a Corporation or form an LLC in Florida.

Can one person be both a Director and an Officer?

Yes, one person (U.S. or foreign) can be both an Officer and the Sole Director of a Florida Corporation, without revealing his or her name in the Articles of Incorporation.

Likewise, in an LLC, one person (U.S. or foreign) can be the owner and managing member.

Can a Florida Non-Profit Corporation qualify as a tax-exempt charitable, religious, educational and scientific organization?

Yes. In order to receive tax-exempt status under Section 501(c)(3), the company must file Form 1023 with the I.R.S.

No, Florida does not have minimum capital requirements for Corporations or LLCs.

Do I need to maintain a bank account or office in the state of Florida?

No, you do not need a bank account or office in the state of Florida.

An annual fee of $90 must paid to Agents and Corporations, Inc. (Incnow), which will serve as the Registered Agent and will receive and forward copies of legal actions filed against your Corporation. Annual meetings may be held anywhere and corporate minutes can be signed by consent without a meeting. If you request, we can also refer you to mail-forwarding or banking services.
