Why you should organize your Limited Liability Company or Corporation in Delaware:

The internal operations of Delaware Corporations and LLCs are governed by Delaware law. The US Chamber of Commerce has rated Delaware's litigation system #1 of all 50 states in the past seven years in every category (Judges' Competence, Judges' Impartiality, Overall Treatment of Tort and Contract Litigation, etc.)

Additionally, recent amendments to the Delaware LLC Act now make it the state-of-the art jurisdiction for LLCs. Delaware's Charging Order Remedy is exclusive and very narrow, to starve out a creditor. Creditors are no longer entitled to other legal and equitable rights to attach assets. Assignees are also bound by the Operating Agreement even if they did not sign it.

Registered Agent Overview



What is a Registered Agent?

A Registered Agent is a person, designated in the Certificate of Incorporation / Certificate of Formation that receives important corporate documents from the state on behalf of a company. These documents include a company’s Service of Process (delivered to the Registered Agent by a sheriff or Special Process Server) and can also include annual reports and franchise tax notices. (Note: Agents and Corporations, Inc. forwards Service of Process documents to the customer’s last known address by Certified Mail or International Federal Express).

Why you Need a Registered Agent

State law declares that every type of company (LLC, Corporation, etc.) must name a Registered Agent.

New Delaware legislation, effective January 1, 2007, states that the Commercial Registered Agent must be a business address that provides services between the Secretary of State and the customer. The Registered Agent has duties to maintain contact information and receive Service of Process. Failure to respond to a lawsuit (Service of Process) in a timely manner will result in a judgment by default and financial liability against the company. Therefore, it is important to choose your Registered Agent on the basis of reliability in addition to low cost.

Not all Registered Agents are created equal. Our services are managed by attorneys and a trained staff of incorporation specialists with decades of experience helping professionals and entrepreneurs. Since we believe the naming of a Registered Agent is only the beginning of a relationship, we will not only forward official mail and pleadings, but will also be available during business hours to serve clients’ needs.

Appoint Us Agent

Beware of "back-end" charges that some incorporation services do not advertise or fully disclose. You should pick a registered agent that is professional and affordable. Agents and Corporations, Inc. discloses all fees up-front.

Agents and Corporations, Inc. (Incnow) has been a Registered Agent run by attorneys since 1974. As Registered Agent, we accept legal Service of Process (lawsuits, etc.) and forward it immediately to you so that you can respond on time. As Registered Agent, we send you the State of Delaware Annual Franchise Tax Report to complete and file, so that your company can remain in Good Standing.

The annual Registered Agent fee is $90.00 per year (the first calendar-year Registered Agent fee is included in the formation fee for a Corporation or LLC). Other agents charge as much as $280.00 per year for the same service.

If you file your own Certificate of Incorporation or Certificate of LLC Formation, you can appoint Agents and Corporations, Inc. as your Registered Agent by paying $90.00 for the first year and notifying us of your contact information and the name of the Corporation or LLC. If you wish to do this, you should insert the following in the Delaware Certificate of Incorporation or Certificate of LLC Formation:

"The address of its registered office in the State of Delaware and the name of its Registered Agent is Agents and Corporations, Inc., Suite 600, One Commerce Center, 1201 N. Orange Street, Wilmington, New Castle County, Delaware, 19801."

Change Registered Agent

Why switch to Agents and Corporations, Inc.?

If your Registered Agent charges more than $90 each year, you can change your Registered Agent to Agents and Corporations, Inc. to reduce your annual fee.

After you submit the form online, we will FAX or E-Mail you a Change of Registered Agent Certificate to sign and return so that we can file it and make the change. (Note: to make this change, the State of Delaware charges all Registered Agents an additional $99 filing fee). The total cost of this service is the State of Delaware’s automatic filing fee, plus our (Incnow’s) annual processing fee of $90.00. (Other agents charge as much as $280.00 per year for the same service!)
